1. About IUDEX

IUDEX is a peer-to-peer marketplace that connects borrowers who wish to pledge physical assets as collateral with lenders who wish to provide short-term loans in exchange for interest. IUDEX facilitates this marketplace and provides custody, authentication, and escrow coordination services.

IUDEX is not a licensed lender and does not provide loans directly. All loan funds are held and disbursed by a licensed third-party escrow service. IUDEX does not provide financial, legal, or investment advice.

2. Eligibility

To use the IUDEX platform, you must:

• Be at least 18 years of age
• Be a resident of the United States
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the platform under applicable law

By using the platform, you represent and warrant that you meet these eligibility requirements.

3. Borrower Terms

As a borrower on the IUDEX platform, you agree to the following:

• You own the asset you are pledging as collateral and have the legal right to use it as such
• All information you provide about the asset, including its condition, provenance, and estimated value, is accurate and complete to the best of your knowledge
• You will ship your asset to IUDEX custody using the shipping instructions provided, properly packaged and insured
• You will repay the loan amount plus agreed interest by the maturity date specified in your loan agreement
• If you fail to repay by the maturity date, IUDEX and the lender reserve the right to liquidate your asset to recover the outstanding loan amount
• Late fees apply for repayments made after the maturity date as specified in your loan agreement

4. Lender Terms

As a lender on the IUDEX platform, you agree to the following:

• You understand that lending involves risk, including the risk of borrower default
• You have reviewed the asset details and loan terms before committing funds
• Loan funds are disbursed through a third-party escrow service and are not held by IUDEX
• In the event of borrower default, IUDEX will work to liquidate the collateral asset and return recovered funds to you, but cannot guarantee full recovery
• IUDEX charges a success fee upon repayment as disclosed at the time of the loan agreement
• You are responsible for understanding the tax implications of any interest income received

5. Asset Custody

When a borrower ships an asset to IUDEX, it enters our custody for the duration of the loan term. IUDEX will:

• Authenticate and appraise the asset upon receipt
• Store the asset securely and insured for the duration of the loan
• Return the asset to the borrower upon full repayment of the loan
• Coordinate liquidation of the asset in the event of default, as outlined in the loan agreement

IUDEX charges storage and insurance fees for the period the asset is in custody, as disclosed at application.

6. Fees

IUDEX charges fees for its services including but not limited to origination fees, storage fees, shipping fees, authentication fees, and success fees. All applicable fees are disclosed to users prior to entering into a loan agreement. By proceeding, you agree to pay the fees as disclosed.

7. Prohibited Conduct

You agree not to:

• Provide false or misleading information about yourself or any asset
• Pledge assets you do not own or do not have the right to use as collateral
• Use the platform for any unlawful purpose or in violation of any applicable law
• Attempt to circumvent or manipulate the platform or its users
• Engage in any activity that disrupts or interferes with the platform

8. Disclaimers and Limitation of Liability

9. Governing Law

These Terms of Service are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.

10. Changes to These Terms

We may update these Terms of Service from time to time. We will notify users of material changes by posting the updated terms on our website. Your continued use of the platform after changes are posted constitutes your acceptance of the updated terms.
